We reserve the right to update or modify these Terms at any time. We will notify you of material changes through the email associated with your account or by posting a notice in the platform. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
2. Description of Services
Meridian 44 provides an enterprise data platform designed to help organizations unify, analyze, and act on their data. Our Services include:

Your Data
You retain all rights to data you upload, process, or store through the Services ("Customer Data"). You grant us a limited license to use, process, and store Customer Data solely to provide the Services to you. We will not use Customer Data for any other purpose without your consent.
Feedback
If you provide feedback, suggestions, or ideas about the Services, we may use such feedback without any obligation to compensate you.
6. Payment Terms
Fees for the Services are specified in your subscription agreement or order form. Payment terms include:
- Billing Cycle: Fees are billed in advance on a monthly or annual basis, as specified in your subscription.
- Payment Method: You authorize us to charge your designated payment method for all fees due.
- Taxes: Fees are exclusive of applicable taxes, which will be added to your invoice as required by law.
- Late Payments: Overdue amounts may accrue interest at 1.5% per month or the maximum rate permitted by law.
- Refunds: Fees are generally non-refundable except as required by law or as specified in your subscription agreement.
We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.
7. Termination
Termination by You
You may terminate your subscription at any time by providing notice through your account settings or by contacting our support team. Termination will take effect at the end of your current billing period.
Termination by Us
We may suspend or terminate your access to the Services if:
- You violate these Terms or our Acceptable Use Policy.
- Your payment is overdue for more than 30 days.
- We are required to do so by law or to protect the security of our platform.
- Your use of the Services poses a risk to other users or our infrastructure.
Effect of Termination
Upon termination, your right to access the Services will cease. We will retain your Customer Data for 30 days, during which you may export your data. After this period, we may delete your data in accordance with our data retention policies.
8. Disclaimers & Limitations
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN 44 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Meridian 44 and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.
Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation is unsuccessful, disputes shall be resolved through binding arbitration in Richmond, Virginia, administered by JAMS under its Commercial Arbitration Rules.
Class Action Waiver
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class, consolidated, or representative action.
